Changing the Registered Agent in the BVI: When Is the Right Time?

Every company in the British Virgin Islands (BVI) is required to maintain an authorized Registered Agent (RA) in the jurisdiction.
It is not uncommon for a Registered Agent to undergo administrative or corporate changes that result in service and support falling below expectations, or in some cases, excessive, unjustified, and unexpected costs.
In such situations, shareholders and/or directors may choose to change the Registered Agent. The process for transferring the Registered Agent to Aurora, for example, is straightforward and can take place through two different routes: a legal route—also known as a forced transfer—or an amicable route, commonly referred to as an “agent-to-agent” transfer.
The amicable route is generally faster. It is recommended that the client first request all corporate documents from the current Registered Agent. The process then typically follows these steps:
The client contacts Aurora, submits the required documentation, and formally requests the transfer;
Aurora conducts due diligence (KYC) and prepares the necessary transfer forms, which must be executed by the client;
Aurora liaises directly with the current Registered Agent, who will inform any outstanding matters and KYC requirements for the release;
Aurora registers the change with the BVI authorities;
Full transfer of the corporate records is completed.
